Overlay management coordinates trading across multiple managers within one account, handling rebalancing, tax awareness and restrictions at the portfolio level rather than per manager.

Without an overlay, two managers can trade against each other in the same account — one buying what the other sold, generating tax consequences and cost for no net change in exposure.
